These Teacher Terms & Conditions ("Agreement") constitute a legally binding contract between you ("Teacher", "you") and Fleydo English School ("Fleydo", "we", "us", "the Company"), operated by Fleydo UG (haftungsbeschränkt), registered in Germany. By submitting a teacher application or providing services through our platform, you acknowledge that you have read, understood, and agree to be bound by these terms.
1. Eligibility & Application
1.1. To apply as a Fleydo teacher, you must be at least 18 years of age and legally permitted to work as an independent contractor or freelancer in your country of residence.
1.2. You must provide accurate, truthful, and complete information in your application, including but not limited to: personal details, qualifications, teaching experience, certificates, and introduction video.
1.3. Fleydo reserves the sole and absolute right to accept or reject any application at its discretion, without obligation to provide reasons for rejection.
1.4. Submitting an application does not guarantee acceptance, nor does it create any employment relationship or contractual obligation on the part of Fleydo.
1.5. Any falsification, misrepresentation, or omission of material information in the application shall constitute grounds for immediate rejection or termination of the teaching relationship.
2. Relationship & Status
2.1. Teachers engaged by Fleydo are independent contractors and not employees, agents, partners, or joint venturers of Fleydo. Nothing in this Agreement shall be construed to create an employment relationship.
2.2. As an independent contractor, you are solely responsible for your own tax obligations, social security contributions, health insurance, and any other statutory obligations in your jurisdiction.
2.3. Fleydo does not provide benefits typically associated with employment, including but not limited to paid leave, sick pay, pension contributions, or health insurance.
2.4. You acknowledge that Fleydo may engage other teachers and is under no obligation to provide you with a minimum number of students or teaching hours.
3. Teaching Standards & Obligations
3.1. You agree to deliver lessons in a professional, prepared, and punctual manner consistent with Fleydo's quality standards and methodologies.
3.2. You shall follow the curriculum guidelines, lesson plans, and teaching materials provided by Fleydo where applicable, while maintaining a supportive and engaging learning environment.
3.3. You must attend all scheduled lessons on time. Repeated tardiness (defined as arriving more than 3 minutes late) or unexcused absences may result in warnings, reduced assignments, or termination.
3.4. You shall maintain a professional appearance and appropriate background during video lessons. Lessons must be conducted in a quiet, well-lit environment with stable internet connectivity.
3.5. You agree to actively participate in student progress tracking, provide regular feedback, and complete any required administrative tasks (e.g., lesson reports, homework assignments) within the timelines specified by Fleydo.
3.6. You shall not teach students assigned through Fleydo outside of the Fleydo platform, nor shall you solicit or accept direct engagement with Fleydo students, whether during or after your engagement with Fleydo. This non-solicitation obligation survives for 24 months after the termination of this Agreement.
4. Compensation & Payment
4.1. Your hourly teaching rate shall be as agreed during the onboarding process and as specified in your teacher profile. Fleydo reserves the right to set maximum and minimum rate limits.
4.2. Payment shall be made monthly, based on the number of completed and verified teaching hours during the preceding calendar month.
4.3. Payment is processed via bank transfer or the payment method specified by Fleydo. You are responsible for providing accurate and up-to-date payment details.
4.4. Fleydo reserves the right to withhold or adjust payment in cases of: (a) disputed lessons, (b) student complaints under investigation, (c) failure to meet lesson quality standards, or (d) breach of any term of this Agreement.
4.5. Lessons cancelled by the student with less than 24 hours notice shall be compensated at 50% of the agreed rate. Lessons cancelled by the teacher are not compensated.
4.6. Fleydo may modify the compensation structure with 30 days written notice. Continued provision of services after such notice constitutes acceptance of the modified terms.
5. Cancellation & Attendance Policy
5.1. If you need to cancel a scheduled lesson, you must provide at least 24 hours advance notice through the Fleydo platform.
5.2. Emergency cancellations (less than 24 hours) must be communicated immediately and may require supporting documentation.
5.3. More than 3 unexcused cancellations within any 30-day period may result in suspension or termination of your teaching engagement.
5.4. Extended absences (more than 7 consecutive days) require prior written approval from Fleydo management. Failure to obtain approval may result in reassignment of your students and/or termination.
6. Intellectual Property
6.1. All teaching materials, curricula, lesson plans, brand assets, software, and proprietary content provided by Fleydo are and shall remain the exclusive intellectual property of Fleydo.
6.2. You may not copy, distribute, modify, sell, or share Fleydo's proprietary materials with any third party, whether during or after your engagement.
6.3. Any teaching materials, lesson content, or resources you create specifically for use on the Fleydo platform during your engagement shall be considered work-for-hire and shall belong exclusively to Fleydo.
6.4. You grant Fleydo a perpetual, worldwide, royalty-free license to use your name, likeness, photo, introduction video, bio, and teaching profile for marketing, promotional, and operational purposes.
7. Confidentiality
7.1. You shall maintain strict confidentiality of all proprietary information, including but not limited to: student personal data, business strategies, pricing structures, internal communications, teacher compensation details, and operational processes.
7.2. You shall not disclose any confidential information to third parties without prior written consent from Fleydo.
7.3. This confidentiality obligation survives the termination of this Agreement indefinitely.
8. Data Protection & Privacy
8.1. You acknowledge that you will have access to personal data of students and their parents/guardians. You agree to handle such data in strict compliance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR).
8.2. You shall process student data only for the purpose of delivering Fleydo lessons and shall not store, copy, or transfer student data to any personal device, cloud storage, or third-party service without explicit authorization.
8.3. In the event of any data breach or suspected breach involving student data, you must notify Fleydo immediately (within 24 hours of becoming aware).
8.4. Upon termination of your engagement, you shall immediately delete all student data and Fleydo materials in your possession.
9. Code of Conduct
9.1. You shall at all times conduct yourself in a manner that upholds the reputation and values of Fleydo English School.
9.2. You shall treat all students, parents, and Fleydo staff with respect, patience, and professionalism.
9.3. The following are strictly prohibited and shall result in immediate termination: (a) any form of harassment, discrimination, or inappropriate behavior; (b) use of offensive, abusive, or vulgar language; (c) sharing personal contact information with students or parents for non-Fleydo purposes; (d) being under the influence of alcohol or drugs during lessons; (e) any conduct that could endanger the physical or emotional wellbeing of students.
9.4. Given that Fleydo primarily serves young learners (children and teenagers), you acknowledge the heightened responsibility of care and agree to maintain appropriate professional boundaries at all times.
10. Termination
10.1. Either party may terminate this Agreement with 14 days written notice without cause.
10.2. Fleydo may terminate this Agreement immediately and without notice in cases of: (a) material breach of any term; (b) misconduct or violation of the Code of Conduct; (c) repeated poor performance despite written warnings; (d) fraudulent activity; or (e) any act that brings Fleydo into disrepute.
10.3. Upon termination, you must: (a) complete all outstanding lessons during the notice period unless otherwise directed; (b) return or delete all Fleydo materials and student data; (c) cease representing yourself as a Fleydo teacher.
10.4. Outstanding compensation for verified lessons delivered prior to termination shall be paid in the next regular payment cycle.
10.5. The following provisions survive termination: confidentiality (Section 7), intellectual property (Section 6), non-solicitation (Section 3.6), data protection (Section 8), limitation of liability (Section 11), and governing law (Section 13).
11. Limitation of Liability
11.1. To the maximum extent permitted by applicable law, Fleydo's total liability to you under or in connection with this Agreement shall not exceed the total compensation paid to you in the 3 months preceding the event giving rise to the claim.
11.2. Fleydo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
11.3. Fleydo does not guarantee any minimum income, student assignment, or continuity of engagement.
11.4. You agree to indemnify, defend, and hold harmless Fleydo, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of this Agreement, negligence, or misconduct.
12. Modifications
12.1. Fleydo reserves the right to modify these Terms at any time. Material changes will be communicated with at least 30 days notice via email or platform notification.
12.2. Continued provision of teaching services after the effective date of any modification constitutes your acceptance of the updated terms.
12.3. If you do not agree with any modification, you may terminate this Agreement in accordance with Section 10.1.
13. Governing Law & Dispute Resolution
13.1. This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.
13.2. Any disputes arising from or in connection with this Agreement shall first be attempted to be resolved through good-faith negotiation between the parties.
13.3. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts in the city where Fleydo UG (haftungsbeschränkt) is registered.
14. Miscellaneous
14.1. This Agreement constitutes the entire agreement between you and Fleydo regarding your engagement as a teacher and supersedes all prior agreements, representations, or understandings.
14.2. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.3. Fleydo's failure to enforce any right or provision shall not constitute a waiver of that right or provision.
14.4. You may not assign or transfer your rights or obligations under this Agreement without Fleydo's prior written consent.
14.5. Notices under this Agreement shall be sent via email to the addresses provided during registration or most recently updated in the platform.
